These Terms of Service ("Terms") govern your access to and use of Producer Assistant, a software service provided by Aigentix Tech ("Aigentix Tech", "we", "us", or "our"). By accessing or using Producer Assistant, you agree to these Terms. If you do not agree to these Terms, you should not use the service.

1. About Producer Assistant
Producer Assistant is a software platform designed to assist insurance producers with managing client and policy information, policy workflows, renewal activities, documents, communications, and related administrative tasks. Producer Assistant is a productivity and workflow support tool. It does not replace the professional judgment, licensing obligations, regulatory responsibilities, or duties of an insurance producer, broker, brokerage, insurer, or other licensed insurance professional.

2. Eligibility and Authorized Use
You may use Producer Assistant only if you are legally permitted to use the service and have authority to provide and process any information submitted through the service. You are responsible for ensuring that your use of Producer Assistant complies with applicable laws, regulations, professional requirements, brokerage policies, and contractual obligations. You may not use Producer Assistant for unlawful, fraudulent, abusive, or unauthorized purposes.

3. User Accounts
Certain features of Producer Assistant require a user account. You are responsible for maintaining the confidentiality and security of your account credentials and for activities performed through your account. You must provide accurate account information and must not allow unauthorized persons to access your account. You should notify Aigentix Tech promptly if you believe your account or credentials have been compromised.

4. Client and Policy Information
Producer Assistant allows authorized users to enter, upload, organize, process, and manage information relating to insurance clients, policies, vehicles, properties, businesses, documents, renewals, and other insurance-related records. Users are responsible for ensuring that they have the appropriate authority, consent, or other lawful basis to enter, upload, store, or process information through Producer Assistant. Users remain responsible for reviewing the accuracy and completeness of information used in their insurance activities.

5. Email and Client Communications
Producer Assistant may allow users to connect supported email accounts, including Google/Gmail and Microsoft Outlook accounts, for the purpose of sending client communications such as policy renewal reminders. Email account access is authorized by the user through the applicable third-party authorization process. Producer Assistant will request only the permissions reasonably required to provide the applicable email functionality. Users are responsible for reviewing communications before sending them and for ensuring that their communications comply with applicable laws, regulations, professional obligations, consent requirements, and anti-spam requirements. Users may disconnect supported email accounts from Producer Assistant.

6. Google User Data
Where a user connects a Google account, Producer Assistant's use and transfer of information received from Google APIs will comply with the Google API Services User Data Policy, including applicable Limited Use requirements. Producer Assistant accesses Google account information only as necessary to provide the features authorized by the user. Information regarding our collection, use, storage, and protection of personal information is described in our Privacy Policy.

7. Microsoft and Other Third-Party Services
Producer Assistant may integrate with services operated by third parties, including Microsoft and Google. Your use of those third-party services may also be subject to the terms and privacy policies of the applicable third-party provider. Aigentix Tech is not responsible for the availability, operation, policies, or independent actions of third-party services.

8. Insurance Decisions and Professional Responsibility
Producer Assistant may provide workflow assistance, reminders, document processing, information organization, or other software-assisted functionality. Any information, recommendation, classification, extraction, alert, or other output provided by Producer Assistant should be reviewed by the user where appropriate. Producer Assistant does not bind insurance coverage, issue insurance contracts, guarantee eligibility, guarantee quotations, or make final underwriting decisions on behalf of an insurer unless expressly stated otherwise through an authorized integration. Insurance producers and other authorized professionals remain responsible for their professional decisions and for verifying information used in insurance transactions.

9. Acceptable Use
You agree not to:
• use Producer Assistant for unlawful or fraudulent purposes;
• attempt to gain unauthorized access to another user's account or data;
• interfere with or disrupt the security or operation of the service;
• upload malicious software or harmful content;
• attempt to circumvent access controls or security measures;
• use the service in a manner that violates the rights of another person or organization; or
• use Producer Assistant in violation of applicable privacy, insurance, communications, or other laws.

10. Intellectual Property
Producer Assistant, including its software, design, interfaces, branding, workflows, and related materials, is owned by or licensed to Aigentix Tech and is protected by applicable intellectual property laws. These Terms do not transfer ownership of Producer Assistant or Aigentix Tech intellectual property to users. Users retain their rights in information and content they lawfully submit to the service.

11. Service Availability and Changes
We may update, modify, improve, suspend, or discontinue features of Producer Assistant from time to time. We will make reasonable efforts to maintain the availability and security of the service, but we do not guarantee that Producer Assistant will always be available, uninterrupted, or error-free.

12. Disclaimer
Producer Assistant is provided as a software and workflow support service. To the extent permitted by applicable law, the service is provided on an "as is" and "as available" basis. Aigentix Tech does not warrant that all information generated, extracted, classified, recommended, or displayed by the service will always be complete or error-free. Users are responsible for reviewing information that is material to insurance transactions, client communications, coverage decisions, or regulatory obligations.

13. Limitation of Liability
To the maximum extent permitted by applicable law, Aigentix Tech will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to the use of, or inability to use, Producer Assistant. Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

14. Suspension or Termination
We may suspend or terminate access to Producer Assistant where reasonably necessary, including in cases of unauthorized use, security risks, material violation of these Terms, or legal or regulatory requirements. Users may stop using Producer Assistant at any time.

15. Privacy
Our handling of personal information is governed by the Producer Assistant Privacy Policy. The Privacy Policy explains how information may be collected, used, stored, protected, and disclosed in connection with Producer Assistant.

16. Changes to These Terms
We may update these Terms from time to time to reflect changes to Producer Assistant, applicable laws, third-party services, or our business practices. When these Terms are updated, the "Last Updated" date at the top of this page will be revised.

17. Governing Law
These Terms are governed by the applicable laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.
